True Homes CRM Terms of Use

These Terms of Use govern your access to and use of the True Homes CRM application and related services designed for real estate professionals. Please read them carefully.

By creating an account, accessing, or using True Homes CRM ("True Homes CRM", "we", "us", or "our"), you agree to be bound by these Terms of Use and our Privacy Policy.

TERMS OF USE FOR TRUE CRM

These Terms of Use (“Terms”) are a legally binding agreement between you and True Homes LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the True CRM mobile application, together with any related software, content, features, support, updates, and services we provide in connection with the app (collectively, the “Services”).

True CRM is operated by True Homes LLC.

By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, access, or use the Services.

If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity.


1. ELIGIBILITY

You represent and warrant that:

you are at least 18 years old;

you have the legal capacity to enter into these Terms;

you are not prohibited from using the Services under applicable law; and

all information you provide to us is true, accurate, current, and complete.

If you do not meet these requirements, you may not use the Services.


2. THE SERVICES

True CRM is a mobile software application designed to support customer relationship management, business workflows, communication, operational tracking, and related business functions.

We may update, improve, modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

We do not guarantee that all features will always be available, uninterrupted, error-free, or compatible with all devices or operating systems.


3. ACCOUNTS AND REGISTRATION

To use some or all features of the Services, you may be required to create or access an account.

You agree to:

provide accurate and complete registration information;

keep your login credentials confidential;

maintain and promptly update your account information;

accept responsibility for all activity occurring under your account; and

notify us promptly of any unauthorized access to or use of your account.

We reserve the right to suspend, restrict, or terminate accounts that contain false information or that violate these Terms.


4. LICENSE TO USE THE APP

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the True CRM mobile application on compatible devices that you own or control, solely for your internal business use or other permitted use of the Services.

This license does not grant you any ownership rights in the app or Services.

You may not:

sell, lease, rent, sublicense, distribute, or commercially exploit the app except as expressly authorized by us;

copy, reproduce, modify, adapt, translate, or create derivative works of the app or Services;

reverse engineer, decompile, disassemble, or attempt to derive source code, except where prohibited by law from restricting that activity;

remove, alter, or obscure copyright, trademark, or other proprietary notices;

use the Services in a way that exceeds the scope of this license.


5. INTELLECTUAL PROPERTY RIGHTS

The Services, including all software, code, functionality, designs, text, graphics, logos, icons, images, audio, video, databases, and other content made available through the Services (collectively, “Content”), and all trademarks, service marks, trade names, and branding (“Marks”) are owned by us, our affiliates, licensors, or other content providers and are protected by applicable intellectual property laws.

Except as expressly stated in these Terms, no rights are granted to you in or to the Services, Content, or Marks.

You may not use our Content or Marks without our prior written permission.


6. USER DATA, SUBMISSIONS, AND FEEDBACK

You may upload, submit, store, create, or transmit data, materials, records, comments, feedback, suggestions, or other content through the Services (“User Data”).

You retain ownership of your User Data, subject to the rights you grant us in these Terms.

By using the Services and submitting User Data, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, and otherwise use User Data as necessary to:

provide and operate the Services;

maintain security and functionality;

improve and support the Services;

comply with law; and

enforce our rights and policies.

If you send us ideas, suggestions, enhancement requests, recommendations, or other feedback regarding the Services, you agree that we may use that feedback without restriction or compensation to you.

You are solely responsible for your User Data and represent and warrant that:

you own or have all necessary rights to submit it;

your User Data does not violate any law or third-party rights; and

your User Data does not contain malicious code or harmful material.


7. ACCEPTABLE USE AND PROHIBITED ACTIVITIES

You agree not to use the Services to:

violate any applicable law, regulation, or third-party rights;

store, upload, or transmit unlawful, fraudulent, defamatory, harassing, abusive, obscene, infringing, or misleading content;

interfere with or disrupt the integrity, security, performance, or operation of the Services;

gain unauthorized access to accounts, systems, networks, or data;

introduce viruses, malware, spyware, Trojan horses, or other harmful code;

scrape, harvest, extract, or collect data from the Services by automated means without our prior written permission;

impersonate another person or entity;

attempt to bypass access controls, security measures, or usage limitations;

use the Services for competitive analysis, benchmarking, or building a competing product or service;

use bots, scripts, or other automated means to access or interact with the Services in an unauthorized manner;

submit false, inaccurate, or misleading information; or

use the Services in any way that could damage, disable, overburden, or impair the Services.

We may investigate violations and take any action we deem appropriate, including suspension or termination of your access.


8. THIRD-PARTY SERVICES AND CONTENT

The Services may integrate with, link to, or rely on third-party services, software, websites, tools, content, or APIs (“Third-Party Services”).

We do not control and are not responsible for Third-Party Services, including their availability, security, accuracy, legality, functionality, or privacy practices.

Your use of Third-Party Services may be subject to separate terms and privacy policies between you and the applicable third party. You are responsible for reviewing and complying with those terms.

We are not liable for any loss or damage arising from your use of Third-Party Services.


9. PRIVACY

Your use of the Services is also subject to our Privacy Policy for True CRM, which describes how we collect, use, and disclose information.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.


10. APP STORE AND PLATFORM TERMS

If you download the app through the Apple App Store, Google Play, or another app distribution platform, you acknowledge that:

these Terms are between you and True Homes LLC, not the platform provider;

the platform provider is not responsible for the app or its content;

your use of the app must comply with the applicable platform usage rules and terms of service;

the platform provider has no obligation to provide maintenance or support services for the app except as required by applicable law; and

the platform provider and its affiliates are third-party beneficiaries of these Terms to the extent applicable to their platform.


11. SERVICE MANAGEMENT AND AVAILABILITY

We reserve the right, but not the obligation, to:

monitor use of the Services for compliance with these Terms;

investigate suspected violations;

remove or disable content;

restrict, suspend, or terminate access to the Services;

modify features, functionality, or technical requirements; and

take steps necessary to protect the Services, our users, and our business.

We do not guarantee that the Services will be available at all times or that access will be uninterrupted or error-free.

Maintenance, outages, updates, device issues, network failures, or third-party dependencies may affect availability.


12. TERM AND TERMINATION

These Terms remain in effect for as long as you use the Services.

We may suspend or terminate your access to the Services at any time, with or without notice, if:

you violate these Terms;

we believe your use creates risk for us, the Services, or other users;

required by law;

your account becomes inactive; or

we discontinue the Services.

Upon termination, your right to use the Services will immediately cease.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute provisions, and any accrued rights or obligations.


13. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

THE SERVICES WILL MEET YOUR REQUIREMENTS;

THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

DEFECTS WILL BE CORRECTED; OR

THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.


14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUE HOMES LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

ONE HUNDRED U.S. DOLLARS (US $100), OR

THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.


15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless True Homes LLC, its affiliates, and their respective officers, directors, employees, agents, contractors, licensors, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your use of the Services;

your User Data;

your violation of these Terms;

your violation of applicable law; or

your infringement or misappropriation of any third-party rights.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in that defense.


16. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.


17. DISPUTES

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in or serving Union County, North Carolina, and you consent to the personal jurisdiction and venue of those courts.

To the fullest extent permitted by law:

disputes must be brought on an individual basis only;

class actions, collective actions, and representative actions are not permitted; and

you waive any right to participate in a class, collective, or representative action.

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED, EXCEPT WHERE PROHIBITED BY LAW.


18. ELECTRONIC COMMUNICATIONS

By using the Services, sending us emails, or interacting with us electronically, you consent to receive communications from us electronically.

You agree that all notices, disclosures, agreements, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.


19. CHANGES TO THESE TERMS

We may revise these Terms from time to time.

When we do, we will update the “Last updated” date above. If required by law, we will provide notice of material changes through the app, by email, or by other reasonable means.

Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.


20. MISCELLANEOUS

These Terms, together with our Privacy Policy and any additional terms presented to you in connection with specific features, constitute the entire agreement between you and us regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time.

There is no joint venture, partnership, employment, or agency relationship between you and us created by these Terms.
